Terms and Conditions

These terms govern your use of Empliora, the HR and compliance platform provided by Forge9X Ltd. Please read them carefully. By creating an account, verifying your business, or using the service, you agree to be bound by them.

1. Who we are

Empliora is a trading name of Forge9X Ltd, a company registered in England and Wales, with its registered office at 140 Avon Road, Chelmsford, Essex, CM1 2LB (“Empliora”, “we”, “us”). “You” means the business that subscribes to the service and the users it authorises.

2. The service

Empliora provides web and mobile software to help UK employers manage HR, right to work, visa and sponsor-licence compliance, timesheets, documents and related workflows. We grant you a non-exclusive, non-transferable right to use the service for your own business during your subscription.

The service is a tool to help you stay organised. It is not a substitute for professional legal, immigration, tax or HR advice, and using it does not transfer your legal duties to us. You remain responsible for meeting your obligations to the Home Office, HMRC, the CQC and any other regulator.

3. Your account

You must give accurate account and business details and keep them up to date. You are responsible for your users, for keeping login details secure, and for all activity under your account. Tell us promptly if you suspect any unauthorised use.

4. Subscription, billing and pricing

Annual subscription. Empliora is provided on a subscription basis, and the standard billing period is annual, paid in advance. Where a monthly option is offered, it is at our discretion and may be priced differently. Your subscription renews automatically for a further annual term unless you cancel before the renewal date.

Prices shown on our website apply to newly signing customers. The prices published on empliora.co.uk are a guide for customers signing up at that time. They are not a promise that your price will stay the same, and they may differ from the price offered to you or already agreed with an existing customer.

Future rates may rise with usage and data. Your renewal price may increase over time, in particular based on your usage of the service and the size of your database (for example the number of employees, records, documents and storage used). We will give you reasonable notice of any change to your renewal price before it takes effect.

VAT. Forge9X Ltd is not currently registered for VAT. Our prices are therefore not subject to VAT, and we do not issue VAT invoices. If our VAT status changes we will update our billing and notify you.

Payment. Subscriptions are paid through our website. We do not take payment through the App Store or Google Play. Invoices and receipts are made available to you within the platform.

Non-payment. If a payment is not made when due, we may suspend or limit access to the service until the amount owing is paid.

Refunds. Except where required by law, subscription fees are non-refundable, including for partly used periods. Any refund we agree to is at our discretion.

5. Acceptable use

You agree not to misuse the service, including: uploading unlawful content; infringing anyone’s rights; attempting to access data that is not yours; probing, scanning or circumventing our security; reselling the service without our agreement; or using it to process data you have no lawful basis to process.

6. Your data and our role

You control the personal data you put into Empliora about your employees and service users, so you are the data controller and we act as your data processor, processing that data on your instructions to provide the service. Our handling of personal data is described in our Privacy Policy, which forms part of these terms and acts as our data processing terms.

Your data is hosted in the United Kingdom and European Union. You keep all rights in your data. On request within a reasonable period after your subscription ends, we will make an export available and then delete your data, unless we must keep it by law.

7. Availability

We work hard to keep Empliora available and reliable, but we do not guarantee it will be uninterrupted or error-free. We may carry out maintenance, and we may change, improve or withdraw features. We will try to give notice of significant changes.

8. Intellectual property

Empliora, including its software, design, brand and content, belongs to Forge9X Ltd and its licensors. These terms do not give you any rights in it beyond the right to use the service. Your business data remains yours.

9. Liability

Nothing in these terms limits liability that cannot be limited by law (such as for death or personal injury caused by negligence, or for fraud). Subject to that, we are not liable for indirect or consequential loss, loss of profit, goodwill or data, or for any regulatory penalty or fine imposed on you. Our total liability to you in any twelve month period is limited to the fees you paid us in that period.

You are responsible for the accuracy of the data and decisions you record in Empliora and for your own compliance outcomes.

10. Suspension and termination

You may cancel your subscription from your account; cancellation takes effect at the end of the current paid term. We may suspend or end your access if you breach these terms, if payment is overdue, or if we are required to by law. On termination your right to use the service ends.

11. Changes to these terms

We may update these terms from time to time. When we make a material change we will update the version and last-updated date and, where appropriate, ask you to accept the new terms. Continuing to use the service after a change means you accept it.

12. Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that we may take action to protect our rights in any jurisdiction.
